board of directors Dasa (DASA3authorized the Executive Board to take all necessary steps to enter into a service provision agreement with Unimed-RJ. If successful, the partnership will generate at least annual gross revenue 308 million Brazilian reals diagnostic company.

The board meeting took place on April 6, but the minutes of the meeting were only released today (18). According to her, the goal is to ensure that beneficiaries of Unimed-RJ health plans are referred to Dasa diagnostic centers for clinical and imaging examinations.

Terms agreed by the board members state that Dasa will receive the larger of the two amounts: a total limit of R$308 million annually, corrected at 100% IPCA; or 70% of Unimed-RJ’s total payment with testing services.

Dasa (DASA3) will sanction Unimed-RJ

The minutes also indicate that the agreement provides for penalties in the event that Unimed fails to comply with the conditions of the minimum order or the minimum revenue to be paid.

On the other hand, Dasa will pay Unimed-RJ R$170 million to sign the agreement. The amount will be divided into R$50 million, to be paid upon the closing of the partnership. This amount will be deducted from the debt that Unimed-RJ currently has accumulated with Dasa.

The remaining balance will be paid in four installments, the first two payments of R$15 million and the last of R$45 million.
